- Modifications: We reserve the right to modify or discontinue any part of the Service with reasonable notice.

- Ensure that all information provided to us is accurate and complete.
- Maintain the confidentiality of any account credentials provided for the software environments.
3. Payments and Billing
- Fees: You agree to pay the fees set forth in your specific Service Agreement or Invoice.
- Taxes: All fees are exclusive of applicable taxes (e.g., GST) unless stated otherwise.
- Late Payments: We reserve the right to suspend services or access to implementations if invoices remain unpaid beyond the due date.
4. Intellectual Property
- Our Property: All methodologies, templates, and proprietary tools used by Cloudtool Technologies remain our exclusive property.
- Client Property: Any data or pre-existing intellectual property you provide remains yours.
- Deliverables: Upon full payment, you are granted a non-exclusive license to use the specific configurations and customizations developed for your business.
5. Third-Party Software
Our services often involve the implementation of third-party software (e.g., Zoho, Odoo).
- You acknowledge that your use of such software is also governed by the respective provider’s terms of service.
- Cloudtool Technologies is not responsible for changes, downtime, or policy updates made by these third-party providers.
6. Limitation of Liability
To the maximum extent permitted by law, Cloudtool Technologies Pvt Ltd shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of or in connection with the use of our Services.
7. Confidentiality
Both parties agree to protect and keep confidential all non-public information shared during the course of the engagement, including business processes, technical data, and financial information.
8. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
